These Terms of Use (“Terms”) govern your access to and use of the websites, products, and services provided by CompFly AI, Inc. (“CompFly,” “we,” “our,” or “us”) (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authority
- You must be at least 18 years old to use the Services.
- If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You may not:
- Use the Services in violation of applicable laws or regulations
- Interfere with or disrupt the Services or security features
- Attempt to access non-public areas or systems without authorization
- Reverse engineer, decompile, or misuse the Services except as permitted by law
- Use the Services to develop or train competing products without our consent
3. Accounts and Access
Some Services require an account. You are responsible for:
- Maintaining the confidentiality of your credentials
- All activity that occurs under your account
- Promptly notifying us of unauthorized access
We may suspend or terminate access if we reasonably believe your use violates these Terms or poses security or legal risk.
4. Customer Data
- When customers use the Services, they may submit data, content, or information (“Customer Data”).
- Customers retain ownership of their Customer Data.
- CompFly processes Customer Data solely to provide and improve the Services and as directed by customers.
- Additional terms governing Customer Data may be set forth in separate agreements.
5. Intellectual Property
- All rights, title, and interest in the Services—including software, documentation, designs, trademarks, and logos—are owned by CompFly or its licensors.
- These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during the term of your access.
- You may not copy, modify, distribute, or create derivative works except as expressly permitted.
6. Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant CompFly a royalty-free, worldwide, irrevocable license to use and incorporate that feedback without restriction or obligation.
7. Third-Party Services
The Services may integrate with or link to third-party services. CompFly does not control and is not responsible for third-party services, content, or practices. Your use of third-party services is governed by their terms.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPFly DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPFly DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR REQUIREMENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: COMPFly WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES COMPFly’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO COMPFly IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO FEES WERE PAID)
10. Indemnification
You agree to indemnify and hold harmless CompFly from claims, damages, losses, and expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your Customer Data or content
11. Termination
- You may stop using the Services at any time.
- We may suspend or terminate your access with or without notice if you violate these Terms or if required by law. Sections that by their nature should survive termination will survive.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
14. AI & Autonomous Agents Disclaimer
- Probabilistic Nature: You acknowledge that the Services utilize artificial intelligence and machine learning technologies that are probabilistic in nature. Outputs generated by the Services ("AI Outputs") may be inaccurate, incomplete, or offensive. You are responsible for evaluating the accuracy and appropriateness of AI Outputs for your use case.
- Agent Autonomy: The Services may enable you to deploy autonomous agents that can take actions (e.g., API calls, data modification) without direct human intervention. YOU ARE SOLELY RESPONSIBLE FOR THE CONFIGURATION, DEPLOYMENT, AND ACTIONS OF THESE AGENTS. CompFly is not liable for any damage, data loss, or unintended consequences resulting from the actions of agents you deploy.
- Human-in-the-Loop: We strongly recommend maintaining human oversight ("human-in-the-loop") for critical or high-stakes workflows.
